These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising in connection with them will be subject to the jurisdiction of the Thai courts.

2. Nature of Our Services

Ratana provides legal advisory services relating to tourism, hospitality, and related commercial matters in Thailand. Our services are provided to clients who have entered into a written engagement with us. Correspondence through this website, email, or telephone does not in itself constitute a legal engagement.

Nothing on this website constitutes legal advice. The information presented here is general and educational in nature. Each situation involves specific facts and considerations that may affect how the law applies. We encourage you to seek advice specific to your circumstances before acting on any information found here.

The scope of any engagement — the services to be provided, the fees, and the timeline — will be set out in a separate letter of engagement or service agreement issued to the client. Those documents, once accepted, form the binding terms of that particular engagement and should be read alongside these Terms.

3. Fees and Payment

Fees for our services are as set out in the relevant engagement letter. Indicative fees displayed on this website are provided for general reference and are subject to the scope of work agreed at the time of engagement. Where the scope changes materially, we will discuss any adjustment with you before proceeding.

Payment terms are as stated in your engagement letter. Where payment is not received in accordance with those terms, we reserve the right to pause work until the account is brought current. We will notify you before taking that step.

All fees are quoted in Thai Baht (THB) and are exclusive of any applicable government charges, filing fees, or third-party disbursements, which will be communicated to you in advance.

4. Confidentiality

We treat all information shared with us in connection with an engagement as confidential. We will not disclose client information to third parties except where necessary to carry out the services, where required by law or by regulatory authority, or where you have given explicit consent.

We may be required by law to report certain matters to relevant authorities. Where this applies, we will explain the obligation to you at the earliest appropriate opportunity.

5. Client Responsibilities

To allow us to provide services effectively, we ask that clients:

The quality of advice we can provide is dependent on the accuracy and completeness of information we receive. We cannot be responsible for outcomes affected by information that was incomplete or inaccurate at the time of engagement.

6. Limitation of Liability

Our liability to a client in connection with any engagement is limited to the fees paid for that engagement, except where liability cannot be limited by law. We are not liable for indirect or consequential loss, including loss of business opportunity, loss of revenue, or third-party claims, unless caused by our negligence or wilful misconduct.

Nothing in these Terms limits our liability for fraud, wilful concealment, or any matter that cannot be excluded or restricted under applicable Thai law.

7. Intellectual Property

All content on this website — including text, structure, design, and reference materials — is owned by or licensed to Ratana. You may view and print content for personal, non-commercial reference. You may not reproduce, redistribute, or adapt website content for any other purpose without our written consent.

Work product prepared for a client during an engagement — such as memoranda, redlines, or draft documents — is provided for that client’s use in connection with the matter. Rights in such materials transfer to the client upon full payment of the relevant fees.

8. Website Availability and Accuracy

We endeavour to keep this website available and its content current, but we cannot warrant that it will be free from interruptions or errors. The law changes, and information on this website may not reflect recent developments. We update content periodically, but please verify any regulatory information with us directly before relying on it.

Links to external websites are provided for convenience. We do not endorse those sites and are not responsible for their content, accuracy, or availability.

9. Ending an Engagement

Either party may end an engagement by written notice. Where a client ends an engagement, fees for work completed to that point will be payable. Where we end an engagement, we will provide reasonable notice and will not leave a client in a position where their interests are immediately at risk, to the extent practicable.

Circumstances in which we may need to withdraw from an engagement include, but are not limited to: conflict of interest that cannot be resolved, non-payment, or a situation where continuing would require us to act contrary to our professional obligations.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or in applicable law. The current version will always be available on this website. Where a material change affects an ongoing engagement, we will notify the client directly.
